John’s practice exercises his extensive experience in the deployment and recovery
of debt and equity capital and in commercial law. His practice includes business
formations, acquisitions and dispositions, distressed asset investing, private equity
transactions, mezzanine lending, commercial lending, creditor’s rights, loan workouts
and recoveries, lender liability, securitizations, the Uniform Commercial Code, and
commercial law generally. John’s practice spans a wide range of different industries, including automotive,
banking, commercial finance, commercial real estate, construction, information technology, insurance, health
care, manufactured housing, manufacturing, restaurant, specialty lending, waste management, and
other industries.
John Titus has extensive experience in public and private offerings of debt and equity
securities, proxy contests and tender offers, corporate mergers and acquisitions, and
corporate financing transactions for businesses in a variety of industries, including
health care, financial institutions, manufacturing, technology, hospitality services and
others. He frequently functions as general counsel to his clients, advising on all aspects
of corporate, securities and business law matters. He advises boards of directors and executive management
of the firm’s publicly-traded clients on corporate governance matters, including compliance with requirements
imposed by Sarbanes-Oxley, TARP and Dodd-Frank legislation, and general fiduciary duties in the context
of mergers, acquisitions and recapitalizations.
